Terms of Service

1. Acceptance of Terms

By creating an account, clicking an "I agree" checkbox, or otherwise accessing or using any part of the MingAI platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference.

If you are entering into these Terms on behalf of a legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not access or use the platform.

2. Eligibility & Geographic Availability

2.1 Age

You must be at least eighteen (18) years of age, or the age of majority in your jurisdiction (whichever is higher), to use MingAI. By using the platform you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. Accounts discovered to belong to minors will be terminated.

2.2 Prohibited Jurisdictions

MingAI routes prompts through third-party AI service providers based in the United States and elsewhere. Accordingly, you may not access or use MingAI if you are located in, ordinarily resident in, or a national of any country or region subject to comprehensive sanctions administered by the United Nations Security Council, the U.S. Office of Foreign Assets Control (OFAC), the European Union, the United Kingdom, or the Government of Singapore. At the time of writing, this includes but is not limited to: Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, Luhansk, Zaporizhzhia, and Kherson regions of Ukraine.

You further represent and warrant that you are not (a) listed on any list of sanctioned or denied parties maintained by OFAC, the EU, the UK, Singapore, or the United Nations; or (b) owned or controlled by any such listed person.

2.3 Compliance with Local Laws

You are solely responsible for ensuring that your use of MingAI is lawful in your jurisdiction. We make no representation that MingAI is available or appropriate for use in any particular location. Where local law restricts or prohibits AI-generated content, fortune-telling services, or online metaphysical consultations, you must not use MingAI.

3. Account Registration

• You may register using email/password or Google OAuth.
• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate, current, and complete information.
• One account per person; account sharing, reselling, or creating multiple accounts to circumvent limits is prohibited.
• You are responsible for all activity occurring under your account.
• Notify us immediately at [email protected] if you suspect unauthorized access or a security breach involving your account.

4. Subscriptions & Payments

4.1 Plans

MingAI offers a free tier and several paid subscription tiers. Current plan names, prices, credit allocations, features, and any add-on products are published on our pricing page, which is incorporated into these Terms by reference. Prices are shown in US dollars and are exclusive of any applicable VAT, GST, or other taxes, which may be added at checkout in accordance with your local jurisdiction. Plan details may be revised by us with at least thirty (30) days' advance notice; see Section 4.2.

4.2 Billing

• Payments are processed by Stripe, Inc., a third-party payment processor.
• Subscriptions auto-renew monthly (or annually if selected) unless cancelled before the end of the current billing period.
• Yearly plans are available at a 17% discount relative to monthly pricing.
• You may cancel at any time through the billing portal; access continues until the end of the paid period.
• We reserve the right to change prices and plan features with at least thirty (30) days' advance notice. Price changes do not affect the currently-paid billing period.

4.3 Refunds

Except as expressly provided in Section 16 (Global Availability & Withdrawal Rights) or as required by applicable mandatory consumer protection law, all payments are non-refundable. Requests for discretionary refunds may be submitted to [email protected] and will be considered on a case-by-case basis.

5. Credits & Usage

• Each AI consultation message costs 1 credit; certain features (pattern analysis, compatibility reports) may cost more.
• Monthly credits reset at the start of each billing cycle; unused monthly credits do not roll over.
• Purchased credit packs never expire and are consumed after monthly credits are depleted.
• Credits are non-transferable between accounts and have no cash value.
• No refunds are available on used credits, and credits themselves are not redeemable for cash.
• We reserve the right to adjust credit pricing, costs, and allocations with thirty (30) days' advance notice.

6. Nature of the Service & AI Disclaimer

6.1 Entertainment and Educational Purpose Only

MingAI provides entertainment, educational, and cultural content based on traditional Chinese metaphysical principles, including Bazi (Four Pillars of Destiny), Qimen Dunjia, Yijing (I-Ching), and Zi Wei Dou Shu. These principles are not scientifically validated and should be interpreted as cultural and philosophical perspectives, not as factual predictions or reliable guidance.

6.2 No Professional Relationship

MingAI is not, and shall not be construed as, a medical provider, mental-health professional, licensed therapist or counselor, financial advisor, investment advisor, attorney or legal counsel, tax advisor, accountant, marriage or family counselor, pastoral counselor, or any other regulated professional. Your use of MingAI does not create any doctor-patient, therapist-client, attorney-client, financial-advisor-client, or similar professional relationship. AI-generated responses are produced by third-party large language models based on pattern matching and probabilistic text generation. These models may produce inaccurate, incomplete, misleading, offensive, or entirely fabricated content (commonly referred to as "hallucinations").

6.3 High-Risk Use Cases — Do NOT Rely on MingAI

You must not rely on MingAI content for any decision in the following categories. For each of these, consult a licensed, qualified professional in your jurisdiction:

• Medical and health decisions — diagnosis, treatment, medication, pregnancy and fertility, surgery, medical devices, clinical trials.
• Mental-health and psychological crisis — suicide or self-harm, depression, anxiety, addiction, eating disorders, trauma, grief, psychosis.
• Financial and investment decisions — investments, trading, debt, loans, insurance, retirement planning, business formation, tax planning.
• Legal and criminal matters — litigation, contracts, criminal defense, immigration, visas, intellectual property.
• Relationship and family decisions — marriage, divorce, child custody, adoption, partner selection, reconciliation.
• Safety-critical decisions — operation of vehicles, aircraft, or heavy machinery; travel to hostile zones; emergency response.
• Pregnancy and fertility — conception timing, prenatal decisions, termination.

6.5 No Guarantee of Outcomes

We make no guarantee, express or implied, that following MingAI content will lead to any particular outcome, favorable result, or accurate prediction. Past content is not indicative of future accuracy. Your results, if any, may differ substantially from any content generated by MingAI.

6.6 Independent Judgment

By using MingAI, you agree to exercise your own independent judgment, critical thinking, and professional consultation in all decisions, and not to act solely on AI-generated content. You are fully responsible for your own actions and decisions.

6.7 "As Is" Content

All AI-generated content is provided "as is" and "as available", without warranty of any kind regarding accuracy, completeness, reliability, timeliness, or fitness for any particular purpose.

7. Assumption of Risk & Release of Claims

7.1 Assumption of Risk

You expressly acknowledge and agree that MingAI content is speculative, non-scientific, and AI-generated, and that reliance on such content may produce disappointing, inaccurate, misleading, or harmful results. You voluntarily and knowingly assume all risks — physical, financial, psychological, relational, reputational, legal, or otherwise — associated with your use of MingAI and any reliance on content generated by the platform.

7.2 Release of Claims

To the maximum extent permitted by applicable law, you hereby release, discharge, and forever waive any and all claims, demands, causes of action, damages, losses, costs, or expenses (whether known or unknown, accrued or contingent, at law or in equity) that you now have or may have in the future against Cortexum Pte Ltd, its parent and subsidiary entities, and each of their respective officers, directors, shareholders, employees, contractors, agents, successors, and assigns (collectively, the "Released Parties"), arising from or related to:

• any decision, action, or omission you took in reliance on AI-generated content from MingAI;
• any consequence — including harm to your health, finances, career, relationships, legal standing, reputation, or wellbeing — of acting or failing to act based on MingAI content;
• any disagreement with, distress caused by, or emotional response to, AI-generated content;
• any third party's decision or action taken in reliance on content you shared from MingAI;
• any inaccuracy, hallucination, offensive output, or bias in AI-generated content.

7.3 Covenant Not to Sue

You agree not to initiate, file, join, prosecute, or otherwise pursue any claim, lawsuit, arbitration, administrative proceeding, or formal complaint against any of the Released Parties for any matter released in Section 7.2, except to the extent that applicable mandatory law prohibits such a release or covenant (see also Section 12.1).

7.4 Prior Reliance

You represent and warrant that, as of your acceptance of these Terms, (a) you have not acted in reliance on any prior MingAI content in a way that has caused you physical, financial, legal, or psychological harm; and (b) you are not making, and do not intend to make, any claim in respect of any such prior harm.

8. Acceptable Use

You agree NOT to:

• Use the platform for any illegal, fraudulent, or unauthorized purpose.
• Attempt to reverse-engineer, decompile, disassemble, scrape, or extract the underlying software, models, or data of the platform.
• Share your account with others or create multiple accounts to circumvent limits or bans.
• Upload malicious content, viruses, worms, or any code designed to disrupt the platform.
• Abuse the AI system through prompt injection, jailbreaking, model extraction, or attempts to bypass safety filters.
• Resell, redistribute, or commercially exploit AI-generated content without our prior written permission.
• Harass, threaten, impersonate, defame, or harm other users or third parties.
• Use the platform to generate or distribute content that is defamatory, obscene, discriminatory, or that incites violence or self-harm.
• Overload the platform with automated or bulk requests, denial-of-service attacks, or scraping without a specifically authorized API arrangement.
• Use the platform to violate any third-party intellectual property, privacy, publicity, or other rights.

9. Intellectual Property

• The MingAI platform, including its design, code, algorithms, prompts, databases, branding, documentation, and all modifications and derivative works, is the intellectual property of Cortexum Pte Ltd or its licensors.
• Our Bazi, Qimen, and Zi Wei Dou Shu calculation engines are proprietary software developed by Cortexum Pte Ltd and are protected by copyright and trade secret laws.
• You may not copy, modify, distribute, sell, lease, or create derivative works from the platform.
• MingAI, the MingAI logo, and 命改 are trademarks of Cortexum Pte Ltd. All other trademarks mentioned on the platform are the property of their respective owners.
• Nothing in these Terms grants you any license to use our trademarks or trade dress without our prior written consent.

10. User Content

• You retain ownership of your personal data, birth chart data, uploaded files, and conversation content.
• By using the platform, you grant us a worldwide, non-exclusive, royalty-free license to host, process, display, and use your content solely for the purposes of providing the service, operating AI consultations, improving the platform, and complying with legal obligations.
• You represent and warrant that you have all necessary rights to submit any content you upload, and that such content does not violate any third-party rights or applicable law.
• You may request deletion of your content at any time by contacting us or by deleting your account. Backup copies and anonymized analytics derived from your content may persist in accordance with our retention practices as described in the Privacy Policy.
• Uploaded files are stored securely and are accessible only to your account, our authorized personnel, and our third-party service providers as necessary to operate the service.

11. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for details on how we collect, use, store, transfer, and protect your personal data, including information about your rights under applicable data-protection laws (including the Singapore PDPA, EU/UK GDPR, and where applicable the California Consumer Privacy Act).

12. Limitation of Liability

12.1 Mandatory Consumer Rights

Nothing in these Terms is intended to limit, and no provision of these Terms shall be construed to limit, any mandatory consumer rights that you may have under applicable local law that cannot lawfully be waived — including, where applicable, the Unfair Contract Terms Act (Singapore), the EU Consumer Rights Directive (2011/83/EU), the EU Unfair Contract Terms Directive (93/13/EEC), the UK Consumer Rights Act 2015, the California Consumer Privacy Act, or any similar consumer protection statute in your jurisdiction.

12.2 Non-Excludable Liability

Nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be excluded or limited under applicable law.

12.3 Exclusion of Indirect Damages

Subject to Sections 12.1 and 12.2, and to the maximum extent permitted by applicable law, Cortexum Pte Ltd, its affiliates, officers, directors, shareholders, employees, contractors, and agents shall not be liable to you for:

• any indirect, incidental, special, consequential, punitive, or exemplary damages;
• loss of profits, revenue, data, goodwill, business, opportunity, or anticipated savings;
• any damages arising from your reliance on AI-generated content;
• any decision, action, inaction, or consequence — whether financial, medical, psychological, relational, legal, or otherwise — that you or any third party takes based on content obtained from MingAI;
• any claim based on an alleged failure of MingAI content to accurately predict or describe past, present, or future events.

12.4 Cap on Direct Damages

Subject to Sections 12.1 and 12.2, our total cumulative liability to you under or in connection with these Terms or your use of MingAI, whether in contract, tort (including negligence), or otherwise, shall not exceed the greater of (a) the total amount you actually paid to us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred Singapore Dollars (SGD 100).

12.5 "As Is" and No Warranty

The MingAI platform and all content are provided "as is" and "as available" without warranties of any kind, whether express or implied, statutory or otherwise. To the maximum extent permitted by applicable law, we expressly disclaim all implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, reliability, timeliness, quality, and uninterrupted availability. We do not warrant that the service will be error-free, secure, free of viruses, or that any defects will be corrected.

12.6 Time Limit for Claims

To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to these Terms or your use of MingAI must be commenced within one (1) year after the claim or cause of action arose, failing which it shall be forever barred. This time limitation does not apply where prohibited by mandatory local law.

13. Indemnification

You agree to defend, indemnify, and hold harmless Cortexum Pte Ltd, its affiliates, officers, directors, shareholders, employees, contractors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

• your use of, or inability to use, the platform;
• your violation of these Terms or any applicable law or regulation;
• your infringement or misappropriation of any third-party right, including intellectual property, privacy, or publicity rights;
• any decision, action, or consequence — including harm to yourself or any third party — resulting from your reliance on AI-generated content from MingAI;
• any dispute between you and any third party arising from content generated or shared in connection with your account.

14. Termination

• You may terminate your account at any time by following the account-deletion flow or by contacting us at [email protected].
• We may suspend, restrict, or terminate your account (in whole or in part) at our reasonable discretion if you violate these Terms, create legal or operational risk, or engage in conduct we reasonably consider to be abusive or fraudulent.
• Upon termination, your right to access and use the platform ceases immediately. Sections that by their nature should survive termination (including Sections 6 through 13, 15, 17, and 18) shall survive.
• Data deletion upon termination is handled in accordance with our Privacy Policy.
• Unused purchased credits and unused portions of prepaid subscription periods are non-refundable upon voluntary termination or termination for cause, except where refunds are required by applicable mandatory consumer protection law.

15. Dispute Resolution

15.1 Governing Law

These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of laws principles.

15.2 Informal Resolution

Before commencing any formal proceeding, the parties agree to first attempt to resolve any dispute through good-faith negotiation. You shall contact us at [email protected] with a written description of the dispute. We will attempt to resolve the matter within thirty (30) days of receipt.

15.3 Binding Arbitration

If informal resolution fails, and subject to Section 15.4, any remaining dispute, controversy, or claim arising out of or in connection with these Terms or your use of MingAI shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules for the time being in force. The seat of arbitration shall be Singapore. The tribunal shall consist of one arbitrator. The language of the arbitration shall be English.

15.4 Consumer Rights Carve-Out

Notwithstanding Section 15.3, if you are a consumer in the European Union, United Kingdom, or any other jurisdiction whose mandatory laws grant you the right to bring disputes in your local courts or to use alternative dispute resolution mechanisms, nothing in this Section 15 limits or waives your right to do so. EU consumers may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15.5 Injunctive Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the unauthorized use, infringement, or misappropriation of intellectual property rights or confidential information.

15.6 Class Action Waiver

To the maximum extent permitted by applicable law, you and Cortexum Pte Ltd each agree that any dispute shall be resolved on an individual basis and not as part of any class, collective, consolidated, or representative action. This Section 15.6 does not apply where prohibited by mandatory local law.

16. Global Availability & Withdrawal Rights

16.1 Global Availability

MingAI is available globally, subject to the eligibility and geographic restrictions set out in Section 2. We may restrict, deny, or suspend access from any jurisdiction without prior notice where legal, regulatory, sanctions, or operational requirements make such access impractical or unlawful.

16.2 Cross-Border Data Transfer

MingAI is operated from Singapore. Your data — including chart data, conversation content, uploaded files, and account information — is processed on servers located in Singapore and may be transferred to and processed by third-party service providers located in the United States and other jurisdictions for the purposes of AI processing, payment processing (Stripe), email delivery (Resend), error reporting, and analytics. By using MingAI, you consent to this cross-border transfer. Please see our Privacy Policy for further detail and for information about your rights under applicable data-protection laws.

16.3 EU / UK Right of Withdrawal

If you are a consumer based in the European Economic Area, Switzerland, or the United Kingdom, you have a statutory right to withdraw from any digital-service contract within fourteen (14) days of entering into it, without giving any reason, pursuant to Article 9 of the EU Consumer Rights Directive (2011/83/EU) and the equivalent UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

However, by subscribing to a paid plan, purchasing credits, or using any paid content, you expressly consent to the immediate supply of digital content and acknowledge that you lose your right of withdrawal once performance has begun, pursuant to Article 16(m) of the EU Consumer Rights Directive and Regulation 37(1)(a) of the UK Consumer Contracts Regulations. If you do not wish to waive this right, do not begin using any paid features within the fourteen-day window.

16.4 Local-Law Conflicts

To the extent any provision of these Terms is unenforceable in your jurisdiction under mandatory local law, that provision shall be deemed modified to the minimum extent necessary to comply, and the remaining provisions shall remain in full force and effect (see also Section 18.1).

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email to the address associated with your account or via a prominent notice on the platform at least thirty (30) days before the changes take effect. Non-material changes (including clarifying language, typo corrections, and formatting updates) may take effect immediately. Continued use of the platform after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, your sole remedy is to stop using the platform and, if applicable, cancel your subscription.

18. Miscellaneous

18.1 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitral tribunal to be invalid, illegal, or unenforceable, that provision shall be severed or modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

18.2 No Waiver

No failure or delay by Cortexum Pte Ltd in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise preclude any other or further exercise thereof.

18.3 Assignment

We may assign, transfer, or delegate any of our rights or obligations under these Terms without your consent, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempted assignment in violation of this Section 18.3 is void.

18.4 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the platform, constitute the entire agreement between you and Cortexum Pte Ltd with respect to MingAI and supersede all prior or contemporaneous agreements, representations, and understandings, whether written or oral.

18.5 Language

These Terms are drafted in English. Any translation is provided for convenience only. In the event of any conflict between the English version and any translated version, the English version shall prevail.

18.6 Force Majeure

Cortexum Pte Ltd shall not be liable for any failure or delay in performance caused by events beyond its reasonable control, including (without limitation) acts of God, natural disasters, epidemics or pandemics, war, terrorism, civil unrest, embargoes, acts of civil or military authorities, fire, floods, accidents, network or infrastructure failures, third-party service outages (including outages by AI providers, cloud providers, or payment processors), strikes, or shortages.

18.7 No Third-Party Beneficiaries

Except for the Released Parties in Section 7.2 and the indemnified parties in Section 13, these Terms are for the sole benefit of you and Cortexum Pte Ltd. Nothing in these Terms is intended to confer any rights on any other third party.
